1. Agreement to Terms

By accessing or using mendios.com ("Site") and any services provided by Mendios ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Use. If you do not agree, do not use our Site or services.

2. Services Overview

Mendios provides the following services:

• SEO & AI Visibility Services — Directory submissions, citation building, schema markup implementation, AI search optimization, and programmatic SEO consulting.
• Custom Mobile App Development — iOS, Android, and cross-platform mobile application design, development, and deployment.
• AI Solutions — LLM integrations, AI agent development, automation workflows, and AI-powered product features.
• Free Tools — Directory presence checker, schema markup generator, and other tools provided at no cost.

3. SEO Service Terms

3.1 Service Plans

SEO services are offered as one-time engagements at the following tiers: Starter ($49), Pro ($149), and Growth ($399). Pricing is subject to change; the price at the time of purchase applies to your order.

3.2 Delivery

Directory submissions are processed within the timeframe specified for each plan (typically 5–21 business days). Submission counts are targets, not guarantees — some directories may reject, require manual approval, or be temporarily unavailable.

3.3 Results Disclaimer

SEO results vary based on industry, competition, website quality, and search engine algorithms. We do not guarantee specific rankings, traffic increases, or revenue outcomes. Directory submissions improve visibility but do not guarantee placement in AI search results or traditional search rankings.

3.4 Client Responsibilities

You are responsible for providing accurate business information (name, address, phone, website, description). Inaccurate information may result in inconsistent citations that harm rather than help your SEO.

4. Mobile App & AI Development Terms

4.1 Proposals & Scope

All development projects begin with a written proposal defining scope, timeline, deliverables, and pricing. Work outside the agreed scope requires a change order with additional fees.

4.2 Intellectual Property

Upon full payment, you own the custom code, designs, and assets created specifically for your project. We retain ownership of pre-existing tools, libraries, frameworks, and reusable components used across projects.

4.3 Post-Launch Support

Development projects include 30 days of post-launch bug fix support at no additional cost. Extended support, new features, and maintenance are available under separate agreements.

4.4 App Store Compliance

We develop apps to meet Apple App Store and Google Play Store guidelines at the time of submission. App store policy changes after delivery are not covered under the original project scope.

5. Free Tools

Free tools (directory checker, schema generator, etc.) are provided "as is" without warranty. We may modify, limit, or discontinue free tools at any time without notice. Free tool results are informational and should not be relied upon as professional advice.

6. Payments & Refunds

6.1 Payment Processing

Payments are processed securely through Stripe. We do not store your credit card information on our servers.

6.2 Refund Policy

SEO services: Refund requests must be made within 48 hours of purchase and before submission work begins. Once directory submissions have started, refunds are not available as the work cannot be reversed.

Development services: Refund terms are defined in individual project proposals. Milestone-based payments are non-refundable once the milestone deliverables have been accepted.

7. User Conduct

You agree not to:

• Provide false or misleading business information for directory submissions.
• Use our services for any illegal purpose or to promote illegal activities.
• Attempt to reverse-engineer, scrape, or automate access to our tools or APIs beyond their intended use.
• Submit spam, malware, or harmful content through any of our forms or tools.
• Abuse rate limits on free tools (max 5 checks per IP per day).

8. Intellectual Property

The Mendios name, logo, website design, programmatic SEO content, AI directory data, and comparison content are owned by Mendios. You may not reproduce, distribute, or create derivative works from our content without written permission.

9. Third-Party Services

Our services integrate with third-party platforms including but not limited to: Stripe (payments), Supabase (data storage), Mixpanel (analytics), Sentry (error monitoring), Vercel (hosting), and various directory websites. We are not responsible for the availability, policies, or actions of third-party services.

10. Limitation of Liability

To the maximum extent permitted by law, Mendios shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, data, or business opportunities, arising from your use of our services.

Our total liability for any claim arising from our services shall not exceed the amount you paid to us in the 12 months preceding the claim.

11. Disclaimer of Warranties

Services are provided "as is" and "as available." We make no warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our services will be uninterrupted, error-free, or secure.

12. Indemnification

You agree to indemnify and hold harmless Mendios, its founder, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

We may suspend or terminate your access to our services at any time for violation of these Terms. For active paid engagements, we will provide reasonable notice and complete any work in progress where feasible.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

15. Changes to Terms

We may update these Terms at any time by posting the revised version on this page with an updated "Last updated" date. Continued use of our services after changes constitutes acceptance of the new Terms.
